What to Look for in a Virtual Data Room

VDR software allows companies to share sensitive business data securely with external parties, such as lawyers, compliance auditors, and trusted advisors. In contrast to file sharing tools, VDR software is designed to protect business-sensitive information and ensure that no one is able to alter, delete or interfere with the content of shared files. This makes it ideal for the M&A due diligence process, but also for any situation that requires sensitive information to be shared with service providers, potential investors or any other outside party.

When evaluating a virtual room Look for these characteristics:

Security: VDRs offer an environment that is secure and can withstand malware and hacks. Find a service provider with ISO-compliant security including backups and encryption. A VDR should also allow users to assign different access levels to different individuals and alter the privileges swiftly if moods change during negotiations.

Document Management: A good VDR will make it simple to upload documents and organize them into meaningful categories using search functions that detect partial or exact matches and locate specific folders. A VDR should also include advanced features, such as OCR (optical character recognition) for PDFs and images as well as filters to narrow search results.

Collaboration and Communication: Look for a VDR that includes built-in discussions, a chat function which allows teams to work together and messaging capabilities that help eliminate communication silos. A VDR must also have an API that allows it to integrate with other systems.
